- Ensuring that the business is in optimum shape for disposal, including pre-sale due diligence;
- Preparation of a detailed Information Memorandum on the business;
- Identifying a targeted list of potential acquirers from a brief agreed with the vendors;
- Actively managing the marketing process and identify a preferred acquirer;
- Providing advice and assistance in the negotiation of the commercial terms of the transaction;
- Providing advice in respect of the most effective deal structure, and on any tax issues relevant to the transaction (including tax clearances);
- Providing support and assistance throughout the due diligence phase of the transaction;
- Reviewing the financial, accounting and taxation aspects of legal documentation; and
- Project management of the deal through to completion.
